Vista Outdoor Unsolicited Bid To Stay USA Based vs Sale to Czechoslovakia Company

MNC Capital Group is bidding to keep Vista Outdoor a USA based company given that the vast ammunition brands used by the public, law enforcement and our military is under the Vista Outdoor company.

In my opinion, the fact that Mark Gottfredson is one of the principles of MNC Capital Group and was on the Vista Outdoor board of directors until he resigned in January is an advantage to the viability of the purchase of Vista Outdoor.

MNC said that its deal would keep Vista under U.S. ownership and would not pose a national security risk nor require a review by the Committee on Foreign Investment in the United States (CFIUS), unlike CSG which is awaiting CFIUS approval.

$1.5 billion in cash on top of $1.4 billion in debt creates more problems than it solves - especially since so many of those underlying deals that Vista did in their roll up had significant debt too.

Deals like this look a lot different in a non-zero interest rate world.

FYI: The currently accepted deal by the Vista Outdoor board that still needs the approval of the Committee on Foreign Investment in the United States (CFIUS) shows that the Czech-based CSG said it plans to take $1.11 billion of debt financing to fund the deal with Vista Outdoor.

So in the end think there is any national security interests with vista brands being sold to a non-usa owned entity?

I would think the holder of the $1.11 billion note will come calling and want all of the vista brands to continue churning out revenues. (I.e. selling stuff)

Primers are still a hand manufactured process, hopefully that alone will keep those federal, cci and Remington primers flowing, tired spending 7.5 cents per primer.
